1. Immediate Termination of Services

Upon receipt of a termination notice, Scout Media Consulting reserves the right to immediately cease all services associated with the client’s account. This includes, but is not limited to:

  • Hosting Services: Any hosting environment managed or provisioned by Scout Media Consulting will be deactivated immediately.
  • Licensed Plugins and Tools: All third-party plugins, software licenses, and tools provided through our agency, such as content management systems, form handlers, and performance enhancers, will be revoked.
  • Security and Performance Enhancements: Security protocols, site monitoring, caching, and content delivery network (CDN) services will be removed.
  • Analytics and Tracking: Access to and management of tracking tools, including web analytics, conversion tracking, and SEO tools, will be discontinued.

By entering into a service agreement with Scout Media Consulting, the client acknowledges and agrees that upon termination, all agency-provided services and tools may be immediately deactivated, regardless of any remaining contractual duration. The agency is under no obligation to provide further notice beyond the initial termination confirmation.

1.2. Impact of Service Removal

The immediate cessation of services will result in changes to the website’s functionality, performance, and security. Clients should anticipate the following:

  • Loss of Hosting: If Scout Media Consulting managed your hosting, the website will become inaccessible unless an alternative hosting solution is implemented immediately.
  • Deactivation of Licensed Tools: All agency-provided software licenses will be revoked, which may affect the functionality of critical systems such as form submissions, e-commerce platforms, and site design elements.
  • Security Vulnerabilities: The removal of security measures, including firewalls, malware monitoring, and backups, will expose the site to potential threats. The client must take immediate steps to replace these security measures.
  • Performance Degradation: The removal of CDN services, caching tools, and other performance optimizations will likely result in slower page load times and diminished user experience.

It is the client’s sole responsibility to address these impacts and ensure the continuity of their website post-termination. Scout Media Consulting bears no liability for any disruptions caused by the removal of its services and tools.


2. Client Responsibilities Post-Termination

2.1. Transition of Website Ownership and Management

Upon termination of services, the full responsibility for the management, security, and operation of the website is transferred to the client. This includes the immediate need to:

  • Secure Hosting: If Scout Media Consulting previously provided hosting services, the client must arrange for an alternative hosting provider. Failure to do so will result in the website being taken offline.
  • Restore Site Functionality: Clients must reestablish the functionality of any systems that relied on agency-managed tools. This includes securing new software licenses for content management systems, form handling, e-commerce integrations, and design elements.
  • Implement Security Measures: It is critical that the client implements their own security protocols, such as firewalls, anti-malware tools, and monitoring services, to protect the website from potential threats following the removal of Scout Media Consulting’s security enhancements.

Failure to perform these actions immediately may result in significant security risks, performance issues, and a loss of website functionality, for which Scout Media Consulting holds no responsibility.

2.2. Specific Areas for Immediate Review

To ensure a smooth transition post-termination, the following areas of the website must be reviewed and addressed by the client:

  • Form Submissions: Test all contact forms, lead generation forms, and e-commerce forms to ensure they continue to function properly. Verify that data is being routed correctly to the appropriate emails or databases. If these forms were reliant on agency-managed plugins or services, alternative solutions must be implemented.

3. Hosting and Performance Management

3.1. Full Client Responsibility for Hosting and Site Performance

Once services are terminated, all responsibility for hosting and maintaining the performance of your website transitions to you, the client. If Scout Media Consulting previously managed your hosting, it is critical that you secure a new hosting provider immediately to avoid disruptions. We recommend you prioritize the following areas:

  • Website Uptime: Without hosting, your website will be inaccessible. Ensure that your new provider guarantees reliable uptime and offers adequate support in case of server issues.
  • Backups: Regular backups are essential to maintaining the integrity of your data. You must implement your own backup system to prevent data loss or site corruption.
  • Security: Hosting environments managed by Scout Media Consulting included a range of security measures, such as malware protection and vulnerability monitoring. These protections will be removed. It is your responsibility to set up equivalent security measures through your new hosting provider.

If you are not ready to manage hosting, security, or performance independently, Scout Media Consulting offers the option to maintain these services on an as-needed or cost-per-service basis. This flexible arrangement allows you to retain specific lines of services, such as:

  • Performance Optimization: Ongoing maintenance of caching, content delivery, and speed enhancements to ensure optimal performance.

4. Final Payment and Settlement of Outstanding Balances

All unpaid invoices for services rendered are immediately due upon termination. Failure to do so may result in additional legal and financial actions, including but not limited to:

  • Late fees and interest charges, in accordance with the terms of the service agreement.
  • Referral to collection agencies or pursuit of legal remedies for unpaid balances.

Scout Media Consulting retains the right to cease all services, including transitional support or ongoing assistance, until the account is fully settled.

4.2. No Further Obligation Without Payment

Until all outstanding balances are paid in full, Scout Media Consulting is under no obligation to provide any continued services or assistance. If you wish to retain specific services, such as hosting or security, as outlined in section 3.2, these must be agreed upon separately and will not proceed until all prior balances have been cleared.

Prompt payment ensures that any additional support or transition services can be discussed, but until that time, all services will be considered terminated without further notice.

5. Legal Disclaimer and Limitation of Liability

5.1. No Liability Post-Termination

Upon the termination of services, Scout Media Consulting is no longer liable for any issues, disruptions, or damages that may arise on your website. This includes, but is not limited to:

  • Loss of Functionality: The removal of licensed plugins, security measures, performance optimizations, and hosting services may result in a loss of functionality or diminished site performance.
  • Security Breaches: Without our security protocols in place, your website may become vulnerable to hacking, malware, or other security threats. Scout Media Consulting will not be responsible for any breaches or damages incurred post-termination.
  • Operational Downtime: If hosting is not transferred in a timely manner, the website may go offline. The responsibility for ensuring continued uptime and site performance rests entirely with the client.

By terminating services, the client acknowledges and agrees that Scout Media Consulting holds no further obligations or liability for the website’s security, performance, or operational integrity. All risks associated with the termination are fully assumed by the client.

5.2. Client’s Acknowledgment of Responsibility

The client explicitly agrees that upon termination, they assume full responsibility for maintaining, securing, and managing their website. Any issues that arise due to the removal of Scout Media Consulting’s tools, licenses, or hosting are solely the responsibility of the client. This legal disclaimer serves to protect Scout Media Consulting from any post-termination claims or liabilities.


6. Transition Support and Optional Continued Services

6.1. Limited Transition Support

Scout Media Consulting may, at its discretion, offer limited transition support to ensure the smooth transfer of services. This includes guidance on migrating hosting, replacing licenses, or securing alternative performance and security measures. However, this support is offered only on a temporary and case-by-case basis, and any extended assistance will require a separate agreement.

This limited transition support does not include hands-on management or service continuation. It is designed to offer general advice and suggestions for next steps. Clients seeking more comprehensive assistance must engage in a separate service contract.

6.2. Optional Continued Services on a Per-Need Basis

To further support clients in the transition period, Scout Media Consulting offers the option to retain certain services on a cost-per-service basis. Clients who are not ready to fully manage certain aspects of their website can opt to continue receiving:

  • Hosting and Site Maintenance: Continued hosting, uptime monitoring, and site backups to prevent any disruption in accessibility.
  • Security Management: Ongoing security services to protect against malware, hacking attempts, and other vulnerabilities.
  • Performance Optimization: Site speed enhancements, including caching and content delivery services, to ensure optimal user experience.
  • Form and E-commerce Support: Ensuring that form submissions, lead capture, and e-commerce processes remain functional during the transition.

These optional services allow clients to maintain key elements of their website while transitioning to full self-management. Each service will be billed separately, and all agreements must be finalized before Scout Media Consulting continues any involvement.

7. No Further Obligations or Responsibilities

7.1. Conclusion of Agency Services

Upon termination of services, Scout Media Consulting will cease all involvement with the client’s website. This includes, but is not limited to, the management of hosting, plugins, licenses, performance optimization, and security monitoring. Once termination is confirmed, no further obligations exist between Scout Media Consulting and the client unless explicitly agreed upon in a separate contract.

Scout Media Consulting will not be held responsible for any disruptions, security breaches, performance issues, or operational failures following the termination of services. The client is expected to manage all aspects of their website independently or through alternative service providers.

7.2. Future Requests and Communication

Any future requests for support, assistance, or consultation from Scout Media Consulting must be initiated through a new service agreement. All communications post-termination will be limited to administrative matters, including settlement of outstanding balances or addressing transition support as outlined in Section 6.
